1. About VenturePadi

VenturePadi provides digital tools intended to help businesses start, run, document and manage aspects of their operations. Features may include business document generation, invoicing, receipts, finance tools, customer management, company documents, tax-related organisational tools, credits and other business utilities.

VenturePadi is operated by Dice Continental Ltd. References to “VenturePadi”, “we”, “us” or “our” in these Terms refer to the VenturePadi service and its operator, as applicable.

2. Acceptance of these Terms

By creating an account, accessing VenturePadi or using any of its services, you agree to these Terms and any policies referenced in them. If you do not agree, you should not use the service.

3. Eligibility and business use

You must have the legal capacity to enter into an agreement and must use VenturePadi only for lawful purposes. If you use VenturePadi on behalf of a company or other organisation, you represent that you have authority to act for that organisation.

4. Your account

You are responsible for providing accurate account and business information, keeping your login credentials secure, and for activity carried out through your account. You should notify us promptly if you believe your account has been accessed without authorisation.

You must not impersonate another person or business, create accounts for fraudulent purposes, or deliberately provide false or misleading information.

5. Business documents and generated content

VenturePadi allows users to create documents using information they provide. You are responsible for reviewing names, amounts, dates, addresses, tax information, contractual terms and all other information before issuing, signing, sharing or relying on a document.

Templates and generated documents are business productivity tools. Unless expressly stated otherwise, they do not constitute legal, tax, accounting, investment or other regulated professional advice. Where a transaction or decision requires professional advice, you should consult an appropriately qualified professional.

You remain responsible for determining whether a generated document is suitable for your particular business, transaction, industry or jurisdiction.

6. Free, Pro and other service levels

VenturePadi may offer different levels of access, including free and paid capabilities. Features, eligibility requirements and usage limits may differ between service levels.

We may introduce, modify or discontinue features as the platform develops. Where a change materially affects a paid service already purchased, we will seek to handle the change fairly and in accordance with applicable law.

7. VenturePadi Credits

Certain premium actions may require VenturePadi Credits. The number of credits required for an action will normally be displayed before the action is completed.

Credits are platform usage units and are not bank deposits, electronic money, investments or legal tender. They cannot be withdrawn as cash or transferred outside VenturePadi unless we expressly provide such a feature.

Once credits have been validly consumed to complete a requested premium action, that usage is generally final, subject to our Refund Policy and applicable law.

8. Prices and payments

Prices, credit packages and applicable charges are displayed through VenturePadi before purchase where applicable. You are responsible for reviewing the amount before authorising payment.

Payments may be processed by third-party payment providers. Their services may also be subject to their own terms and privacy practices.

9. Acceptable use

You must not use VenturePadi to:

• commit fraud, deception, money laundering or other unlawful activity;
• create false invoices, receipts, approvals or other deceptive business records;
• infringe intellectual property, privacy or other rights;
• upload malicious code or attempt to compromise the platform;
• bypass access controls, credit requirements or security mechanisms;
• interfere with the service or another user’s use of it; or
• use the service in a manner prohibited by applicable law.

10. Your content and business information

You retain responsibility for business information, logos, customer details, document content and other material you submit to VenturePadi.

You grant us the limited permission necessary to host, process, reproduce and format that material solely as reasonably required to operate and provide the service to you.

You represent that you have the rights and permissions necessary to provide information that you submit, including personal information relating to customers, employees or other third parties.

11. VenturePadi intellectual property

VenturePadi software, branding, interfaces, designs, platform content and associated intellectual property belong to Dice Continental Ltd or the applicable licensors. Using VenturePadi does not transfer ownership of those rights to you.

12. Service availability

We work to keep VenturePadi reliable and available, but we do not guarantee uninterrupted or error-free access. Maintenance, upgrades, internet failures, third-party services, security events or circumstances beyond our reasonable control may occasionally affect availability.

13. Suspension and termination

We may restrict or suspend access where reasonably necessary to protect VenturePadi, its users or third parties, investigate suspected fraud or abuse, comply with law, or address a material breach of these Terms.

Where appropriate and legally permitted, we will seek to provide reasonable notice or an opportunity to resolve the issue.

14. Disclaimer

VenturePadi is provided as a business productivity service. To the extent permitted by law, the service is provided without guarantees that it will meet every business requirement or that every template or output will be appropriate for every circumstance.

Nothing in these Terms excludes rights or protections that cannot lawfully be excluded.

15. Limitation of liability

To the extent permitted by applicable law, Dice Continental Ltd will not be liable for indirect, incidental, special or consequential losses arising solely from use of, or inability to use, VenturePadi.

This limitation does not apply where liability cannot legally be limited or excluded.

16. Changes to these Terms

We may update these Terms as VenturePadi develops or where legal or operational requirements change. The current version will be published on this page with its latest update date.

17. Governing law

These Terms are governed by the laws of the Federal Republic of Nigeria, subject to any mandatory rights or protections that apply under applicable law.
